These Terms and Conditions (“Terms”) constitute a legally binding agreement between Goodlys Platform (hereinafter referred to as the, “we”, “us”, or “our”) and any person who accesses or uses the mobile application, website, and related services (collectively referred to as the “Platform”).
The Platform is a technology-based marketplace that enables restaurants, retailers, grocery stores, bakeries, and other businesses to list and sell surplus products, including surplus food items, to consumers at discounted prices.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
If you do not agree to these Terms, you must immediately cease using the Platform.1. DefinitionsFor the purposes of these Terms:
“Platform” means the mobile application, website, software infrastructure, and services operated by Goodlys.
“User” means any individual or entity accessing or using the Platform.
“Buyer” means a User who purchases or attempts to purchase products listed on the Platform.
“Seller” or “Merchant” means any restaurant, food outlet, retailer, grocery store, bakery, or business entity that lists products for sale on the Platform.
“Listing” means any product, service, or item made available for purchase on the Platform by a Seller.
“Order” means a purchase request placed by a Buyer for products listed on the Platform.2. Nature of the Platform
The Platform operates solely as a technology intermediary that facilitates interaction and transactions between Buyers and Sellers.
Goodlys:
does not own, produce, manufacture, distribute, store, or sell any products listed on the Platform
does not take title to or possession of any goods
does not control the quality, safety, legality, or condition of any products offered by Sellers.
The role of Goodlys is limited to providing technological infrastructure that enables Users to connect and transact.
Accordingly:
Goodlys shall not be deemed a seller, retailer, supplier, distributor, or food business operator.
Goodlys shall not be responsible for product quality, safety, hygiene, packaging, or compliance with food safety regulations.
Users acknowledge that Goodlys acts as an intermediary within the meaning of applicable Indian law, including obligations under the Information Technology Act, 2000.2.1 Platform Role Limitation
Goodlys operates solely as a technology marketplace that facilitates connections between Buyers and Sellers.
Goodlys is not a party to the transaction between Buyers and Sellers and does not assume responsibility for the preparation, quality, safety, or legality of products listed by Sellers.
Any disputes regarding products, quality, or fulfilment shall primarily be resolved between the Buyer and the Seller.3. Eligibility and User RepresentationsTo use the Platform, Users must:
be at least 18 years of age
have legal capacity to enter into binding contracts
provide accurate and truthful information
comply with all applicable laws.
By using the Platform, Users represent and warrant that:
all information provided is accurate and complete
they will not use the Platform for unlawful purposes
they will comply with these Terms.
Goodlys reserves the right to refuse access, suspend accounts, or terminate services if eligibility requirements are not met.4. User Accounts and Security
Users may be required to create an account to access certain services on the Platform.
Users agree to:
maintain confidentiality of login credentials
immediately notify Goodlys of unauthorized account use
accept responsibility for all activities under their account
ensure that account information remains accurate and updated.
Goodlys shall not be liable for losses resulting from unauthorized access to a User account.5. Seller Obligations and Compliance
Sellers listing products on the Platform represent and warrant that they:
Possess all licenses, registrations, and approvals required by law, including food safety registrations where applicable.
Provide accurate and complete product descriptions.
Ensure that surplus products offered are safe, consumable, and compliant with applicable food safety standards.
Maintain proper hygiene, storage, and packaging standards.
Honour confirmed orders and provide timely pickup arrangements.
Sellers shall be solely responsible for:
compliance with food safety regulations
accuracy of listings
product quality and freshness
expiry dates and labeling.
Goodlys shall not verify or guarantee Seller compliance with regulatory requirements. Sellers must comply with applicable local health and safety regulations and maintain valid FSSAI registration where required.6. Surplus Food Disclaimer
The Platform facilitates the sale of surplus food items that may be close to the end of their standard retail lifecycle.
Buyers acknowledge and agree that:
such items may have reduced shelf life
appearance, packaging, or portion sizes may vary
items may need to be consumed shortly after purchase.
By placing an order, Buyers accept these characteristics and agree that Goodlys shall not be liable for dissatisfaction arising from the nature of surplus products.6.1 Surprise or Mixed Product Listings
Certain listings on the Platform may contain surplus or mixed items where the exact contents are not predetermined.
Buyers acknowledge and agree that the specific items included in such listings may vary depending on the Seller’s available surplus inventory at the time of pickup.
The images, descriptions, or examples displayed on the Platform are illustrative only and do not guarantee the exact contents of the order.7. Buyer Responsibilities
Buyers agree to:
review product descriptions carefully
ensure timely pickup of purchased items
follow Seller instructions for collection
Failure to collect orders within the designated pickup window may result in:
automatic cancellation of the order
forfeiture of payment without refund.8. Orders, Payments, and Transactions
A transaction is deemed complete when the Buyer collects the purchased items or surprise bags from the Seller.
Payments are processed through third-party payment service providers.
Goodlys:
does not store complete payment card details
shall not be responsible for payment gateway failures or banking errors.8.1 Seller Non-FulfilmentIn certain circumstances a Seller may be unable to fulfil an order due to operational issues, inventory shortages, or unforeseen circumstances.
In such cases, the order may be cancelled and the Buyer may be eligible for a refund in accordance with the Platform’s refund policy.
Goodlys shall not be liable for losses resulting from a Seller’s failure to fulfil an order.9. Cancellation and Refund Policy
Orders may be cancelled or refunded under limited circumstances including:
Seller cancellation
payment processing failure
technical system errors.
Refund eligibility shall be determined by Goodlys in its sole discretion.
Refunds will be processed through the original payment method and may take several business days depending on payment processors.10. Platform Availability and Technical Limitations
Goodlys does not guarantee that the Platform will always be:
uninterrupted
secure
free from errors or viruses.
Maintenance, upgrades, or unforeseen technical issues may result in temporary disruptions.
Goodlys shall not be liable for any losses resulting from such interruptions.11. Prohibited Activities
Users shall not:
use the Platform for fraudulent activities
submit false listings or misleading information
interfere with Platform security systems
engage in data scraping or reverse engineering
violate intellectual property rights
impersonate other individuals or entities.
Goodlys may suspend accounts and pursue legal remedies in the event of violations. Goodlys reserves the right to investigate suspicious transactions or fraudulent activities and may suspend accounts involved in such conduct.12. Intellectual Property Rights
All rights, title, and interest in the Platform, including:
software
algorithms
trademarks
logos
designs
text and graphics
owned by the Goodlys platform and its operators.
Users may not copy, reproduce, distribute, or commercially exploit any Platform content without prior written consent.13. Limitation of Liability
To the maximum extent permitted by law, Goodlys shall not be liable for:
food safety issues
allergic reactions
product defects
Seller misconduct
incorrect product descriptions
lost or damaged products
personal injury arising from product consumption
indirect or consequential damages.
In any event, Goodlys’s total liability shall not exceed the amount paid by the User for the relevant transaction.14. DisclaimerFood Allergy Notice
Food products sold through the Platform may contain allergens including but not limited to dairy, nuts, gluten, soy, or other ingredients.
Buyers with food allergies or dietary restrictions should confirm ingredients directly with the Seller before consuming any product.
Goodlys shall not be responsible for allergic reactions or dietary incompatibilities.Food Business Disclaimer
Goodlys does not prepare, manufacture, store, handle, or deliver food items listed on the Platform.
All food products are prepared, stored, and sold directly by independent Sellers.
Sellers are solely responsible for compliance with applicable food safety laws and regulations, including those issued by the Food Safety and Standards Authority of India (FSSAI).No Warranty
The Platform and all services provided through it are offered on an "as is" and "as available" basis.
Goodlys makes no warranties or representations of any kind, whether express or implied, regarding the operation of the Platform, the accuracy of listings, the availability of products, or the quality of goods offered by Sellers.
To the fullest extent permitted by law, Goodlys disclaims all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.15. Indemnification
Users agree to indemnify, defend, and hold harmless Goodlys, its directors, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, or expenses arising from:
violation of these Terms
misuse of the Platform
disputes between Buyers and Sellers
regulatory violations by Sellers.16. Suspension and Termination
Goodlys may suspend or terminate a User’s access to the Platform at any time without notice if:
these Terms are violated
fraudulent activity is suspected
required by law or regulatory authorities.
Termination does not affect obligations incurred prior to termination.17. Privacy and Data Protection
Use of the Platform is subject to the Privacy Policy governing collection and use of personal data in compliance with the Digital Personal Data Protection Act, 2023.18. Force Majeure
Goodlys shall not be liable for delays or failures resulting from events beyond reasonable control, including:
natural disasters
government restrictions
strikes or labour disputes
internet or infrastructure failures
pandemics.19. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Subject to arbitration provisions, courts located in Mumbai, India shall have exclusive jurisdiction over disputes arising from these Terms.20. Dispute Resolution
Any disputes arising from or relating to these Terms shall first be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.21. Modifications to Terms
